Partnership Agreement
Our full Technology Partnership Agreement (v5.0) is provided to every client before services begin.
Below is a summary of the key terms. The complete agreement covers service levels, support hours, pricing, data ownership, confidentiality, dispute resolution, and all terms of the partnership.
Payment Terms
- Monthly invoices are due within 30 days of the invoice date
- Accepted payment methods: ACH, credit card, or check
- Accounts unpaid after 30 days receive a written past-due notice
- If still unpaid 7 days after notice, services may be suspended
- A $250 reactivation fee applies to restore suspended services
Agreement Term
- 1-year initial term, auto-renews annually
- Either party may cancel with 30 days written notice after the first year
- Early termination during the first year incurs a fee equal to 90 days of monthly charges
- 60 days written notice required for non-renewal
Plan Changes
- Users may be added at any time (prorated if mid-month)
- Removing users requires 30 days notice
- Pricing is locked for the duration of the agreement term
- 60 days written notice before any pricing changes at renewal
Onboarding
- One-time onboarding fee: $75 per user (minimum $500)
- Minimum 4 users for new partnerships
- Waived for existing TSC clients
After the Partnership Ends
- TSC provides reasonable transition assistance
- All fees are due through the termination date
- Your data is returned or securely destroyed at your direction
- TSC removes all monitoring agents and TSC-owned software
Disputes
- We start with a conversation to resolve any disagreement
- If unresolved, we move to professional mediation
- Litigation in Utah courts as a last resort
